Personal Experience

Mrs. Stella Musembi is the Managing partner at S.S Musembi & Co. Advocates (SSM Law) and a former partner at Gikera & Vadgama Attorneys. Stella holds a Bachelor of Laws Degree (LLB) from the Moi University and a Postgraduate Diploma from the Kenya School of Law. She is currently pursuing her master’s degree in environmental law. She is also a member of the Law Society of Kenya and sits on the board of The Association of Retirement Benefits Schemes, Mission Campaign Network, and is also a Certified Trustee.

Stella has an extra -ordinary track record of delivering valuable advice on Real Estate transactions, she is adept at advising financial institutions on risk management, employee management and legal compliance. She engages clients to understand their business models, business need, legal risks, areas of non-compliance and delivers tailored solution, on agreed timelines.

Transaction Experience

  • Acted for various Real Estate developers in the structuring, financing, sale and transfer of developments valued at over $102,000,000
  • Registered trademarks,  industrial designs, copyrights, and patents for  domestic and multi-national companies.
  • Reviewed of Trust Deed and Rules for one of the top telecommunications and mobile money service company in Kenya and ensured the same aligns to the Provisions Retirement Benefits Act and the NSSF Act,2013.
  • Acted for the Trustees of an IPP of one of the top retirement benefits administrators in the incorporation of its Boards of Trustees, under the Trustees Perpetual Succession Act.
  • Trained the Trustees of a government parastatal on the provisions of the Data Protection Act and its Regulations as well as the Unclaimed Financial Assets Act.
  • Acted for an established insurance company in the preparation of Mortgage policy for the various schemes under their administration and trained their Trustees as appertains the provisions of the Mortgage Regulations 2020(now not in force)
  • Acted for one of the leading Kenyan banks in the preparation of an Original Trust Deed and Rules for the establishment and registration of an individual Savings and Retirement Plan, together with other requisite supporting documents. The Scheme was registered by RBA and is operational.
  • Advised various multinational companies setting up in the country, on Kenyan employment related issues involving consultancy, employees’ status and drafting human resource policy document.
  • Reviewed a Deposit Administration Policy contract for a fully guaranteed local provident fund of a leading Communications and IT services company.
  • Provided legal advisory work and review of various service provider contracts for an internal pension administrator of a leading electric power generation company in Kenya.
  • Acted in the winding up of a Provident Fund for the staff of a Parastatal following the transition of all employees to the registered Pension Scheme.

Stella is passionate about the environment. She loves the outdoors and mountain climbing. The discipline of systems; running to prepare one’s body, exercising and keeping to the track, are a translation of the same in her work life. Just like one acclimatizes to the mountain gradually, she abhors quick fixes or microwave solutions. She also loves reading, especially motivational books and the Holy Bible.
